Limitation of Liability & Force Majeure Disclaimer

This Disclaimer serves as the definitive legal safety net governing the operational execution of our services. While our gallery stewards employ absolute rigor and redundancy to ensure a flawless event activation, certain technical, structural, and environmental parameters rest entirely outside our operational control.

By executing a ledger booking contract, the Client acknowledges and accepts the structural boundaries of our liability outlined below.

I. Environmental & Atmospheric Force Majeure

The Social Booth Club Co. cannot be held liable, financially or logistically, for any service interruptions, complete non-performance, or damage caused by catastrophic acts of God or unexpected environmental anomalies.

  • The Elements: This includes, but is not limited to, sudden coastal storms, unforecasted rain or heavy sea-mist, extreme winds, lightning strikes, earthquakes, wildfires, or state-enforced rolling blackouts.

  • Alternative Staging Mandatory: In the event of adverse weather, if the Client or venue fails to provide a completely dry, covered, and legally safe indoor space as mandated by our terms, our staff will cease operations immediately to prevent electrical shock or asset damage. No financial restitution or partial credits will be granted for lost operational time due to weather disruption.

II. Facility & Infrastructure Failures

Our luxury mobile terminals are completely reliant on the underlying structural stability of your chosen venue or private estate.

  • Power Grid Fluctuations: The Social Booth Club Co. bears zero liability for terminal shutdowns, lighting short-circuits, or delayed operation caused by venue power grid failures, insufficient voltage output, blown fuses, or faulty wiring at the installation coordinate.

  • Network & Satellite Constraints: On-site instant file transmission (via SMS or digital link) relies entirely on regional cellular towers, local Wi-Fi strength, or satellite arrays. In rare instances where venue architecture (e.g., thick stone walls or subterranean vaults) blocks signals, text transfers will be cached locally on our secured drive and transmitted within 24 hours of returning to our corporate base. Delayed transmission due to connectivity dead-zones does not constitute a breach of contract.

III. Hard Ceiling on Financial Restitution

  • Maximum Recovery Limit: In the highly unlikely event that our hardware experiences an internal system crash, or if a verified operational error entirely prevents us from delivering your digital gallery, the Club's total legal and financial liability is strictly capped.

  • The Indemnification Cap: The maximum financial payout or refund to the Client shall never exceed the exact dollar amount collected by the Club for that specific service contract. The Club cannot be held liable for secondary or consequential damages, including event production losses, planner coordination costs, or emotional distress.

IV. Updates to This Charter

The Social Booth Club Co. reserves the right to refine or amend this policy to mirror evolving legal statutes or advanced practices. Any updates to our policies will be recorded instantly and marked with an adjusted revision date.
